Terms of Service

These terms are an agreement between you and [Company legal name] ("Nuit", "we", "us") for your use of the Nuit Privé app and services. By creating an account or using Nuit, you agree to these terms and to our Privacy Policy.

Eligibility

You must be at least 21 years old and able to form a binding contract to use Nuit. Membership requires identity and age verification.

Membership

Nuit is a private membership service. Applications are reviewed individually and we may accept, waitlist or decline any application at our discretion. Membership is personal and cannot be transferred, shared or sold. We may suspend or end a membership that breaks these terms or our community guidelines.

Your account

You are responsible for activity on your account and for keeping your phone and sign-in methods secure. The information you provide must be accurate and your own.

Community guidelines

Nuit is built on mutual opt in, privacy and respect. You agree not to:

• harass, threaten or pressure other members or venue staff
• contact members who have not opted in, or continue after someone declines
• share another member's personal details, photos or messages without consent
• take photos or video where a venue prohibits it
• misrepresent who you are or use someone else's account
• use Nuit for any unlawful purpose

Report concerns from the Safety section of the app. If you are in immediate danger, contact local emergency services first.

Reservations, deposits and payments

Venues are independent businesses. Tables, minimum spends, dress codes, entry and house rules are set by each venue, which may refuse entry at its discretion. When you reserve, you may be asked for a deposit, which is applied toward your minimum spend on the night. Cancellation and refund terms are set by the venue and shown to you before you pay. Payments are processed by Stripe under its terms.

Concierge requests

When you ask our concierge to request access to a venue or members' club, we will pass on your request. Approval rests with the venue or club, and we cannot guarantee entry.

Your content

You keep ownership of what you post, such as your profile and messages. You give us a limited license to host, display and transmit that content only to operate Nuit. You are responsible for your content and confirm you have the right to share it.

Our content

The Nuit name, logo, design and app are owned by us and protected by law. You may not copy, modify or reverse engineer the app except as allowed by law.

Third party services

Nuit includes services from others, such as Apple Maps, Google Maps Platform, Persona and Stripe. Your use of those features is also subject to their terms. We are not responsible for third party services or for venues' goods and services.

Disclaimers

Nuit is provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all warranties, express or implied. We do not guarantee availability of any venue, table or event.

Limitation of liability

To the fullest extent allowed by law, Nuit will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits or data. Our total liability for any claim relating to Nuit is limited to the greater of the amounts you paid us in the 12 months before the claim or 100 US dollars.

Indemnity

You agree to indemnify Nuit against claims arising from your misuse of the service or breach of these terms.

Ending your use

You may delete your account at any time from Profile. We may suspend or end access if you break these terms. Sections that by their nature should continue, such as ownership, disclaimers and limitation of liability, survive termination.

Changes to these terms

We may update these terms. If changes are material, we will notify you in the app before they take effect. Continuing to use Nuit after that means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of [State], without regard to conflict of law rules. Disputes will be resolved in the courts located in [County, State], unless applicable law requires otherwise.

Apple

These terms are between you and Nuit, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support, and is not responsible for any claims relating to the app, including product liability, legal compliance or intellectual property claims. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. Apple and its subsidiaries are third party beneficiaries of these terms and may enforce them against you. You confirm you are not located in a country subject to a US government embargo and are not on any US government list of prohibited or restricted parties.
